1. Agreement to Terms
Welcome to Traxio Inc ("Traxio," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of our website at traxio.ai and app.traxio.ai (the "Website"), our intent workflow platform, AI-assisted drafting and analysis features, managed GTM support, and all related features and content (collectively, the "Services").
By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not use our Services.

2. Beta Software Notice
2.1 Beta Status
Traxio is currently in beta testing phase. As beta software:
- The Services may contain bugs, errors, or defects
- Features and functionality may change, be added, or removed without notice
- Service availability and performance are not guaranteed
- AI-assisted recommendations may produce unexpected, inaccurate, or suboptimal results
- Data structures, APIs, and integrations may change
2.2 Your Acceptance of Beta Risks
By using our Services during beta, you acknowledge and accept:
- Service Interruptions: The Services may be unavailable, slow, or unreliable at times
- Data Changes: Data structures and storage methods may change
- Feature Changes: Features you rely on may be modified or removed
- AI Behavior: Our AI-assisted recommendations are experimental and may behave unpredictably
- No SLA: We do not provide service level agreements or uptime guarantees during beta
- Feedback Requirement: We may request your feedback to improve the Services
2.3 No Warranty for Beta Software
THE SERVICES ARE PROVIDED "AS IS" DURING BETA WITH NO WARRANTIES OF ANY KIND. See Section 16 for full warranty disclaimer.
3. Eligibility
3.1 Age Requirement
You must be at least 18 years old to use our Services. By using our Services, you represent that you are at least 18 years old.
3.2 Authority
If you are using our Services on behalf of a company or organization, you represent that you have authority to bind that entity to these Terms.
3.3 Compliance
You must comply with all applicable laws and regulations when using our Services.
4. Account Registration
4.1 Account Creation
To use most features of our Services, you must create an account. When registering, you agree to:
- Provide accurate, current, and complete information
- Maintain and update your information to keep it accurate
- Keep your password secure and confidential
- Notify us immediately of any unauthorized access to your account
- Accept responsibility for all activities that occur under your account
4.2 Account Security
You are responsible for maintaining the security of your account. We are not liable for any loss or damage arising from your failure to maintain account security.
4.3 One Account Per User
You may not create multiple accounts to circumvent payment requirements, gain unfair advantages, or abuse promotional offers. Violation may result in immediate account termination.
5. Customer Data, Content, and Permissions
5.1 Customer Data
"Customer Data" means information, content, prompts, brand materials, product details, account information, connected-source data, drafts, notes, and other materials that you submit to, upload to, connect to, or generate through the Services.
5.2 Your Ownership
You retain ownership of your Customer Data, including your product information, company materials, brand assets, prompts, campaign inputs, conversation drafts, and approved outputs. These Terms do not transfer ownership of your Customer Data to Traxio.
5.3 Limited License to Operate the Services
You grant Traxio a limited, non-exclusive, worldwide license to host, process, transmit, display, and use Customer Data only as needed to provide, secure, maintain, support, and improve the Services; comply with law; enforce these Terms; and perform actions you request or approve.
This license ends when the Customer Data is deleted from our systems, except where continued retention is required for legal, security, backup, dispute-resolution, or legitimate business purposes described in our Privacy Policy.
5.4 Publicity and Marketing Use
We will not use your company name, logo, trademark, testimonial, quote, case study, private performance data, or identifiable customer story in public marketing materials without your permission.
If you give permission, you may revoke future use by contacting hello@traxio.ai. Revocation will not require us to recall materials already printed, published, distributed, or reasonably in progress before we process the request.
5.5 Aggregated and De-Identified Data
We may create aggregated, anonymized, or de-identified data from use of the Services for analytics, benchmarking, security, product improvement, and research. We will not intentionally use this data to identify you or your company.
5.6 AI Improvement
We may use Customer Data to operate, test, evaluate, and improve Traxio features, including AI-assisted recommendations and drafting. Where we use data for broader model or system improvement, we will apply reasonable safeguards such as aggregation, de-identification, access controls, or customer controls where available.
5.7 Feedback
If you provide feedback, suggestions, or ideas about the Services, you grant Traxio the right to use that feedback without restriction or compensation. Feedback does not include your confidential Customer Data.
6. Description of Services
6.1 Platform Overview
Traxio provides an AI-assisted intent workflow for lean B2B teams. The Services may help users build credible presence, monitor public intent signals, draft replies and content, review prospect context, and coordinate follow-up or meetings.
6.2 Plans and Pricing
Plans, features, and pricing are as defined on the Website and within the product. Unless otherwise stated at checkout or in a written order form, the terms presented at the time of purchase apply.
6.3 Beta and Founding-Rate Pricing
During beta, we may offer invite-only access, founding-rate pricing, promotional trials, or custom commercial terms. Any special pricing applies only as described at signup, checkout, or in a written agreement with Traxio.
6.4 Review and Third-Party Platforms
The Services may generate drafts, rankings, recommendations, summaries, and suggested actions. You are responsible for reviewing and approving content, outreach, and other actions before using them, unless you explicitly enable a feature that performs an action automatically.
Third-party platforms may change their terms, APIs, or policies. We do not guarantee continued access to any third-party platform or integration.
7. Payments
7.1 Payment Processing
- Payments are processed securely through Stripe or another payment processor we identify.
- We do not store full payment card numbers.
- All prices are in USD unless otherwise stated.
- You are responsible for keeping billing and payment information current.
7.2 Cancellation and Extension
Plans are not subscription-based and do not auto-renew. You may extend access at your discretion through your account settings, through the billing flow if available, or by contacting hello@traxio.ai. Unless required by law or expressly stated in writing, ending or not extending your access does not entitle you to a refund for the current billing period.
7.3 Taxes and Price Changes
Prices do not include taxes unless stated otherwise. You are responsible for applicable taxes. We may change pricing or plan features, but we will make reasonable efforts to notify active customers before material pricing changes take effect.
8. Refund and Credit Policy
8.1 Refunds
Except where required by law or expressly stated in writing, fees are non-refundable. We may provide refunds or credits at our discretion.
8.2 Service Credits
If a technical issue caused by Traxio materially prevents you from using the Services, contact hello@traxio.ai with details. We may investigate and, at our discretion, issue a credit, extension, or other remedy.
8.3 Not Eligible for Credits
- Dissatisfaction with AI-generated drafts, recommendations, or outcomes
- Lower-than-expected engagement, replies, meetings, or revenue
- User error, account setup issues, or misuse of the Services
- Changes to third-party platform APIs, policies, or availability
9. Intellectual Property
9.1 Platform Ownership
Traxio owns all rights, title, and interest in and to:
- The Services, platform, and technology
- Our AI models, algorithms, and workflow technology
- Our proprietary software and code
- Traxio trademarks, logos, and branding
- All improvements and derivative works
9.2 User Input Data
You retain ownership of:
- Your product information and descriptions
- Content you create or upload
- Your company branding and materials
- Data you provide through our intake wizard
9.3 AI-Generated Content License
Content generated by AI-assisted features:
When the Services generate drafts, recommendations, messages, copy, or other outputs for you:
- Our IP: We retain intellectual property rights in our AI technology, software, models, and algorithms
- Your License: You receive a perpetual, worldwide, non-exclusive, royalty-free license to use, modify, and distribute AI-generated content for your business purposes
- Your Responsibility: You are solely responsible for reviewing, approving, and using AI-generated content
- No Warranty: We do not warrant that AI-generated content will be accurate, effective, or suitable for your purposes
9.4 Anonymized Data
We may collect, use, and retain anonymized, aggregated data derived from your use of the Services for:
- AI-assisted feature evaluation and improvement
- Statistical analysis and benchmarking
- Research and development
- Platform optimization
This anonymized data does not identify you personally and becomes our property. You grant us a perpetual, irrevocable, worldwide license to use such anonymized data.
9.5 Feedback
If you provide feedback, suggestions, or ideas about our Services ("Feedback"), you grant us a perpetual, worldwide, royalty-free license to use, implement, and commercialize the Feedback without compensation or attribution to you.
10. User Conduct and Prohibited Uses
10.1 Acceptable Use
You agree to use our Services only for lawful purposes and in accordance with these Terms. You may not use our Services:
Abuse and Circumvention:
- To create multiple accounts to circumvent payment requirements
- To create multiple accounts to abuse promotional offers
- To create multiple accounts to deny service to other users (resource hogging)
- To share accounts or credentials with others
- To engage in any form of fraud or deceptive practices
Illegal and Harmful Activities:
- For any illegal purpose or in violation of any laws
- To harass, abuse, threaten, or intimidate others
- To engage in spamming, trolling, or abusive behavior
- To deceive, mislead, or defraud others
- To distribute malware, viruses, or harmful code
- To promote, sell, or distribute illegal or controlled substances
- To promote violence, terrorism, or illegal activities
Adult and Inappropriate Content:
- To promote or distribute adult content, pornography, or sexually explicit material
- To promote gambling or illegal gaming activities
- To promote hate speech, discrimination, or intolerance
Platform Abuse:
- To violate third-party platform terms of service (see Section 11)
- To scrape, crawl, or harvest data from our Services
- To reverse engineer, decompile, or attempt to extract source code
- To interfere with or disrupt our Services or servers
- To bypass any security measures or access controls
- To engage in denial-of-service attacks or similar activities
Rate Limiting and System Abuse:
- To make excessive API requests or automated queries
- To overload or impair system performance
- To circumvent rate limits or usage restrictions
- To use automated scripts or bots without authorization
Unauthorized Use:
- To use our Services for purposes other than intended without prior written consent
- To resell, redistribute, or sublicense our Services
- To use our AI-assisted features for competitive intelligence or to build competing products
10.2 Enforcement
We reserve the right to:
- Investigate suspected violations
- Suspend or terminate accounts as permitted by these Terms
- Remove content that violates these Terms
- Report illegal activities to law enforcement
- Pursue legal remedies for violations
10.3 Cooperation
You agree to cooperate with any investigations and provide requested information promptly.
11. Third-Party Platform Compliance
11.1 Your Responsibility
When using our Services to post to third-party platforms (Reddit, Twitter/X, LinkedIn, Product Hunt, Hacker News, Indie Hackers, newsletters, directories, etc.), you acknowledge and agree that:
- You are responsible for compliance with each platform's Terms of Service, Community Guidelines, and policies
- You must have authorization to post to channels on behalf of your company or organization
- You must review all content before it is posted, sent, or otherwise used
- You accept all risks associated with posting to these platforms
11.2 Platform-Specific Rules
Each third-party platform has its own rules regarding:
- Frequency and timing of posts
- Self-promotion and marketing
- Spam and duplicate content
- Community engagement requirements
- Commercial use restrictions
You are responsible for understanding and complying with these rules.
11.3 No Liability for Platform Actions
We are not liable if:
- You are banned, suspended, or penalized by third-party platforms
- Your accounts are terminated or restricted
- Your posts are removed or flagged
- You face legal action from platforms or their users
- Platform APIs change or become unavailable
11.4 Platform API Changes
Third-party platforms may change their APIs, policies, or features at any time. We will make reasonable efforts to maintain integrations, but:
- We do not guarantee continued availability of any specific platform integration
- We are not liable for losses due to platform API changes
- We may discontinue integrations without notice if platforms restrict access
11.5 Review Mode Recommendation
We strongly recommend using "Review Mode" where you approve all posts before they go live. This allows you to ensure compliance with platform policies.
12. AI-Assisted Output Disclaimer and Indemnification
12.1 AI-Generated Content Disclaimer
Our AI-assisted features may generate content, rankings, summaries, recommendations, and suggested actions, but:
- Not Guaranteed Accurate: AI-generated content may contain errors, inaccuracies, or inappropriate material
- Not Guaranteed Effective: Content may not perform well or achieve your goals
- May Require Editing: You should review and edit AI-generated content before use
- Reflects Training Data: AI behavior is based on training data and may not always align with your brand voice
- Unpredictable: AI-assisted recommendations may behave unexpectedly, especially during beta
12.2 Your Responsibility to Review
YOU ARE SOLELY RESPONSIBLE FOR:
- Reviewing AI-generated content before it is posted, sent, or otherwise used
- Ensuring content aligns with your brand, values, and legal obligations
- Verifying factual accuracy of AI-generated statements
- Complying with advertising, disclosure, and truth-in-advertising laws
- Ensuring content does not infringe third-party rights
12.3 Communications and Suggested Outreach
When the Services draft, recommend, or assist with outreach or other communications:
- You are responsible for deciding whether and how to use the communication
- No guarantee of quality: Messages may not be effective or appropriate
- You are responsible for disclosures, permissions, platform compliance, and applicable law
- You should monitor conversations and intervene when needed
12.4 Your Indemnification Obligations
You agree to indemnify, defend, and hold harmless Traxio, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or relating to:
- AI-generated content you post, send, approve, or otherwise use
- Messages, replies, or outreach created, approved, sent, or used through the Services
- Your use of our Services in violation of third-party platform terms
- Harm to your business, reputation, or relationships caused by your use of AI-assisted output
- False, misleading, or infringing content generated or distributed through our Services
- Your violation of these Terms or applicable laws
- Third-party claims arising from your use of our Services
12.5 Risk Assumption
By using AI-assisted features, you acknowledge and assume the following risks:
- AI-assisted output may damage your brand or reputation if used without appropriate review
- AI-assisted output may offend or alienate potential customers if used without appropriate review
- AI-assisted output may include factual errors or misrepresentations
- Launches may fail to meet expectations or cause negative outcomes
- Third-party platforms may penalize you for AI-generated content
You accept these risks as inherent to using AI automation technology.
13. Termination
13.1 Termination by You
You may terminate your account at any time by:
- Using the in-app account termination feature
- Emailing hello@traxio.ai with a termination request
Upon termination:
- Your access will be revoked immediately or within a reasonable time
- Future access will stop after cancellation or termination
- Refunds are handled under Section 8
- Data deletion will occur within 90 days (see our Privacy Policy)
13.2 Termination by Us
We may suspend or terminate your account immediately, without notice or refund, if:
- You violate these Terms
- You engage in prohibited conduct (Section 10)
- Your account is used for fraudulent or illegal activities
- You abuse promotional offers or payment systems
- You create multiple accounts to circumvent restrictions
- You pose a security risk to our Services or other users
- Required by law or legal process
13.3 Effect of Termination
Upon termination by either party:
- Your license to use our Services ends immediately
- You remain liable for all obligations incurred prior to termination
- Sections that by their nature should survive (indemnification, liability, dispute resolution) will survive
- We are not liable for any damages resulting from termination
13.4 No Refunds Upon Termination
Termination does not entitle you to any refunds or compensation for:
- Unused portions of a paid period
- Paid services already provided or made available
- Lost data or content
- Business disruption
14. Disclaimers and No Warranties
14.1 "AS IS" and "AS AVAILABLE"
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED.
14.2 No Warranties
TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:
- Merchantability: No warranty that Services are suitable for your purposes
- Fitness for a Particular Purpose: No warranty that Services will meet your specific needs
- Non-Infringement: No warranty that Services do not infringe third-party rights
- Accuracy: No warranty that AI-generated content or data is accurate or reliable
- Quality: No warranty regarding the quality or effectiveness of Services
- Availability: No guarantee of uptime, availability, or uninterrupted access
- Security: No guarantee that Services are free from bugs, viruses, or security vulnerabilities
- Results: No guarantee that using our Services will produce any specific results or outcomes
14.3 Beta Disclaimer
As beta software:
- Features may not work as described
- Performance may be poor or inconsistent
- Data loss or corruption may occur
- Service interruptions are likely
14.4 Third-Party Platforms
We do not warrant or guarantee:
- Availability or functionality of third-party platform integrations
- Acceptance or performance of content on third-party platforms
- Compliance with third-party platform policies
- That third-party platforms will not change their terms, APIs, or policies
14.5 AI Limitations
We do not warrant that our AI-assisted features will:
- Produce high-quality, effective, or accurate content
- Identify the best evangelists or leads
- Book meetings or generate sales
- Provide accurate sentiment analysis
- Learn effectively between launches
14.6 No Professional Advice
Our Services do not constitute professional marketing, legal, or business advice. You should consult with qualified professionals before making business decisions.
15. Limitation of Liability
15.1 Maximum Liability Cap
TO THE FULLEST EXTENT PERMITTED BY LAW, TRAXIO'S TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR YOUR USE OF THE SERVICES SHALL NOT EXCEED THE GREATER OF:
- $100 USD, or
- The total amount you paid to us in the 12 months preceding the claim
15.2 No Indirect Damages
TO THE FULLEST EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR:
- Indirect damages: Including consequential, incidental, special, or punitive damages
- Lost profits: Loss of revenue, income, or business opportunities
- Lost data: Loss or corruption of data or content
- Business interruption: Downtime, service interruptions, or inability to use Services
- Reputational harm: Damage to reputation or goodwill
- Lost opportunities: Missed launches, lost customers, or failed campaigns
- Third-party actions: Bans, suspensions, or penalties from third-party platforms
THESE LIMITATIONS APPLY EVEN IF:
- We have been advised of the possibility of such damages
- A remedy fails of its essential purpose
- Damages result from our negligence (but not gross negligence or willful misconduct)
15.3 Basis of the Bargain
You acknowledge that the limitations in this Section 15 reflect a reasonable allocation of risk and are fundamental elements of the bargain between you and Traxio. We would not provide the Services without these limitations.
15.4 Jurisdictional Limitations
Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability for incidental or consequential damages. In such jurisdictions, our liability is limited to the maximum extent permitted by law.
16. Indemnification
16.1 Your Indemnification Obligations
You agree to indemnify, defend, and hold harmless Traxio Inc, its officers, directors, employees, contractors, agents, licensors, suppliers, and affiliates from and against any and all claims, liabilities, damages, losses, costs, expenses (including reasonable attorneys' fees and court costs), arising from or relating to:
- Your use or misuse of the Services
- Your violation of these Terms
- Your violation of any third-party rights, including intellectual property, privacy, or publicity rights
- Your violation of any applicable laws or regulations
- Content you submit, post, or distribute through our Services
- AI-generated content you post, send, approve, or otherwise use
- Messages, replies, or outreach created, approved, sent, or used through the Services
- Claims by third-party platforms or their users
- Any harm to your business, customers, or reputation caused by our Services
- Any false, misleading, or infringing content distributed through our Services
- Your breach of third-party platform terms of service
- Any fraud, willful misconduct, or negligence on your part
16.2 Defense and Settlement
We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you. You will not settle any claim without our prior written consent.
16.3 Cooperation
You agree to cooperate fully with us in the defense of any claim and to provide all necessary assistance at your expense.
17. Dispute Resolution
17.1 Informal Resolution
Before filing a claim, you agree to contact us at hello@traxio.ai and attempt to resolve the dispute informally. Provide a written description of the dispute and your desired resolution. We will attempt to resolve the dispute within 60 days.
17.2 Binding Arbitration
IF THE INFORMAL RESOLUTION PROCESS FAILS, YOU AND TRAXIO AGREE THAT ANY DISPUTE, CLAIM, OR CONTROVERSY WILL BE RESOLVED EXCLUSIVELY BY BINDING ARBITRATION, EXCEPT AS SET FORTH BELOW.
Agreement to Arbitrate:
- You and Traxio agree to resolve disputes through final and binding arbitration
- Arbitration will be conducted by JAMS (Judicial Arbitration and Mediation Services) or AAA (American Arbitration Association)
- Arbitration will follow their Consumer Arbitration Rules then in effect
- Arbitration will be conducted by a single neutral arbitrator
Arbitration Location:
- Arbitration will be held in Delaware
- For disputes under $10,000, arbitration may be conducted by telephone, video conference, or document submission at your option
Arbitration Costs:
- Each party will bear its own costs and attorneys' fees
- For claims under $10,000, we will reimburse your filing fees if you prevail
No Class Actions:
- Arbitration must be conducted on an individual basis
- Class action lawsuits, class arbitrations, and representative actions are prohibited
- You may not join your claim with claims of others
17.3 Exceptions to Arbitration
Either party may seek relief in small claims court for disputes within that court's jurisdiction.
Either party may seek injunctive or equitable relief in court to protect intellectual property rights.
17.4 Waiver of Jury Trial
YOU AND TRAXIO WAIVE THE RIGHT TO A JURY TRIAL.
17.5 Waiver of Class Actions
YOU AND TRAXIO WAIVE THE RIGHT TO PURSUE CLAIMS AS A CLASS ACTION, COLLECTIVE ACTION, OR REPRESENTATIVE ACTION.
17.6 Governing Law
These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.
Any arbitration or court proceeding shall be governed by Delaware law.
17.7 Statute of Limitations
You must bring any claim within one (1) year after the claim arises, or the claim is permanently barred.
17.8 Severability
If any provision of this dispute resolution section is found invalid or unenforceable, the remainder will remain in effect, except:
- If the class action waiver is found invalid, this entire arbitration provision is void
- If arbitration is found unenforceable, disputes will be resolved in Delaware state or federal courts
18. Modifications to Terms
18.1 Right to Modify
We reserve the right to modify these Terms at any time. When we make changes:
- We will update the "Last Updated" date at the top
- For material changes, we will provide notice via email to your registered address, prominent notice on our Website, or in-app notification
- Changes become effective 30 days after notice (or immediately for legal compliance)
18.2 Acceptance of Changes
Your continued use of our Services after changes become effective constitutes acceptance of the modified Terms.
If you do not agree to the modified Terms, you must stop using our Services and terminate your account.
18.3 Beta Changes
During beta, we may modify features, pricing, or policies with shorter notice periods as we develop the product. We will make reasonable efforts to notify you of significant changes.
19. General Provisions
19.1 Entire Agreement
These Terms, together with our Privacy Policy and any other policies incorporated by reference, constitute the entire agreement between you and Traxio regarding the Services.
19.2 Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect. The invalid provision will be modified to the minimum extent necessary to make it enforceable.
19.3 No Waiver
Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision. Any waiver must be in writing and signed by an authorized representative of Traxio.
19.4 Assignment
You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms without restriction, including in connection with a merger, acquisition, or sale of assets.
19.5 No Third-Party Beneficiaries
These Terms do not create any third-party beneficiary rights except as expressly stated herein.
19.6 Force Majeure
We are not liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, natural disasters, war, terrorism, labor disputes, internet failures, or government actions.
19.7 Relationship
Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between you and Traxio. You may not make commitments on behalf of Traxio.
19.8 Notices
All notices to you may be provided via:
- Email to your registered address
- In-app notifications
- Posting on our Website
Notices to us must be sent to hello@traxio.ai.
19.9 Survival
Provisions that by their nature should survive termination will survive, including: intellectual property rights, indemnification obligations, limitations of liability, dispute resolution, and general provisions.
19.10 Interpretation
Headings are for convenience only and do not affect interpretation. "Including" means "including but not limited to." "Or" is not exclusive.
19.11 Language
These Terms are drafted in English. Any translations are provided for convenience only. In case of conflicts, the English version prevails.

21. Acknowledgment and Acceptance
